  • Corporate Purpose

    The main purpose of the Company. Please let us know the main activities that the Company shall perform in Mexico. We will need such information in order to incorporate a Company entitled to perform a broad range of activities related with the main purpose. In Mexico, corporations whose business purpose is “all legal commercial activities” is not an option and will be rejected b the authorities.

    For example "Engagement in information technology system design and maintenance for corporate clients and individuals.” or "Importation of fine wines, sprits, liquors, meats, dairy products, grains and other products, both alcoholic and non-alcoholic for human consumption."

  • Capitalisation

    Capital Stock of the Company. The minimum capitalisation for the Limited Liability Company is 3,000 Pesos
, but you can choose as much capital as you wish. For a Corporation, the minimum capitalisation is 50,000 pesos. Remember, this amount is nominal and does not mean necessarily that the value must be deposited in a bank account. It is simply the value assigned to the capital of the company.

    Mexican law requires corporations to have at least two shareholders. The shareholders can be either a person or a legal entity such as a foreign corporation.   • Management Structure

    In this section, we will ask you a few questions to determine the management structure for the new corporation. The corporation can be management in several ways, by a Board of Directors or by a General Director.

    Board of Directors Management Structure The member's of the Board of Directors may be required to take all or most actions jointly or each member may be permitted to act independently.

    In the later case, the Board of Directors acts more like a counsel of managers, in which each manager is given unlimited powers to act on behalf of the company. On the other hand, if several individuals are designated to the Board of Directors, the powers of each member can be amplified or restricted based on the needs of the client. The Directors need not be physically present in Mexico.

    General Director Structure Management Structure The simplest way to manage the corporation, is to appoint a Director General, who has the ability to act on behalf of the company in almost all aspects.

    This structure is attractive where the entity is a subsidiary corporation, with limited managerial authority independent from the parent corporation. This structure is also attractive where the is only primary shareholder manager in a closely held corporation. The General Director need not be physically present in Mexico.

  • Unlimited power of attorney [default].- This power is the ultimate power available under Mexican Law, comprising nearly the totality of the powers held by the entity. It confers all of the powers of an owner, which includes the authority to sell property and assets out of the normal course of business. Because of the broad scope of this power, it is usually not conferred on a single person. Also, this power is usually granted only as a special power, one at a time, to achieve a single, concrete purpose.


    Power of attorney for lawsuits and collections.- This power enables the holder to appear in court on behalf of the entity, whether to give testimony on behalf of it or to file a lawsuit or defend one that has been filed against the entity. The power can also be used to collect payments from government agencies.


    Power of attorney for labor relations administration.- This power enables the holder to manage the labor relationships in the entity. Specifically, it allows him to contract or fire personnel, to appear before the labor and social security authorities and to defend the company in case of lawsuits filed before the Labor Board.

    Power for acts of administration.- This power includes the authority to conduct the entities day-to-day business, including the authority to enter into contracts and sell products in the ordinary course, but not to encumber or conduct any sales of assets outside of the ordinary course.


    Power for custom matters.- This power allows the holder to determine on behalf of the entity the customs value of the goods the company imports and exports, to make customs calculations, to process all kinds of customs documentation, authorisations, permits and licenses. To open and operate customs accounts and to represent the company before administrative ad judicial authorities with respect to custom matters.


    Power to participate in government procurement.- This power allows the holder to represent the company in all types of procurements and invitations to bid.


    Power of attorney for credit instruments.- This power includes the faculty to open and close Bank accounts and to execute negotiable instruments, such as bank checks, promissory notes, etc, and to endorse or guarantee them. It is recommended that this power is exercised jointly by at least two holders, in order to prevent any one person from binding the company without authorisation.
